We are currently ready to upgrade to 8.5, however we are currently using 8.1 in VM Ware 3.1 we are also moving the VM and SQL. Is there a special sequence for shutdown and bringing it back up? How about the upgrade?

I am not certain if there is a "proper" sequence, but here is how I always do Orion upgrades.
For shutdown I start with polling engines and work my way to the core of the Orion environment (the DB). Then reverse the process, start the DB server, then the Orion Server and finally the polling engines. In your case I would recommend doing the VM upgrade/move first, and waiting a few days or a week to make sure everything is working as expected, and backups get done (just in case something goes terribly wrong) then do the 8.5 upgrade. Starting with the Orion server then the polling engines.
